THE COMPANIES ACT(Chapter 50)
ASSOCIATION NOT FOR PROFIT
MEMORANDUM OF ASSOCIATION
OF
EE HOE HEAN CLUB

  • The name of the Association is “EE HOE HEAN CLUB” (hereinafter referred to as “the Club”).
  • The Registered Office of the Club shall be situated in Singapore.
  • The objects and general purposes of the Club shall be:-
    1. To take over and manage the affairs and undertaking of and the whole or any part of the movable and immovable property owned or controlled by or belonging to and to undertake all or any of the liabilities of an unincorporated Society known as”EE HOE HEAN CLUB”, whose Head Office is situated at Bukit Pasoh Road, Singapore, a Society exempted from registration under the Societies Act(Chapter 311).
    2. To promote goodwill and fellowship among persons of the Chinese race resident in Singapore and elsewhere.
    3. To promote and foster in commercial circles a closer relationship between members.
    4. To provide opportunities for intercourse amongst members and to give facilities for the acquisition and dissemination by other means of useful information connected with the various businesses trades and professions.
    5. To take any gift of property whether subject to any special trust or not for any one or more of the objects of the Club.
    6. To purchase to take over on trust or to hold on trust take on lease or in exchange hire or otherwise acquire any movable and immovable property which may be deemed necessary or convenient for any of the purposes of the Club.
    7. To sell manage lease mortgage dispose of or otherwise deal with all or any part of the property of the Club.
    8. To construct maintain and alter any houses buildings or works necessary or convenient for the purposes of the Club.
    9. To invest any monies of the Club not immediately required for any of its objects in such manner as may from time to time be determined.
    10. To subscribe to any local or other charities and to grant donations for any public purpose.
    11. To borrow and raise money from bank/banks or other financial institutions required for the purposes of the Club upon such terms and in such manner and on such securities as the Club may think fit.
    12. To do all such other lawful things as are incidental or conducive to the attainment of the above objects or any of them.
  • The income and property of the Club whencesoever derived shall be applied solely towards the promotion of the objects of the Club as set forth in the Memorandum of Association and no portion thereof shall be paid or transferred directly or indirectly by way of dividend or bonus or otherwise howsoever by way of profit to the persons who at any time are or have been members of the Club or to any of them or to any person claiming through any of them. Provided that nothing herein contained shall prevent the payment in good faith of remuneration to any officers or servants of the Club or to any member thereof or other person in return for any service actually rendered to the Club.
  • No addition, alteration or amendment shall be made to or in the Articles of Association for the time being in force, unless the same shall have been previously submitted to and approved by the Minister empowered to act under the Companies Act (Cap. 50).
  • The liability of the members is limited.
  • Every member of the Club undertakes to contribute to the assets of the Club in the event of its being wound up during the time that he is a member, or within one year afterwards, for payment of the debts and liabilities of the Club contracted before the time at which he ceases to be a member, and of the costs, charges and expenses of winding up the same, and for the adjustment of the rights of the contributories amongst themselves such amount as may be required, not exceeding $1/-.
  • If upon the winding up or dissolution of the Club there remains after satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to or distributed among the members of the Club but shall be given or transferred to some other institution or institutions having objects similar to the objects of the Club to be determined by members of the Club at or before the time of dissolution, and in default thereof by a Judge of the Supreme Court of Singapore.

We the several persons whose names and addresses are subscribed are desirous of being formed into an association in pursuance of this Memorandum of Association.
